SEC Authorization

Crowdveste is regulated by the Securities and Exchange Commission of Zambia under a 12-month pilot program.

Dual Platform Model

Our authorization permits both equity-based crowdfunding and social cause crowdfunding within Zambia.

Legal Compliance

We operate in accordance with all applicable laws, SEC regulations, and pilot authorization terms.

2. Definitions

Equity-based crowdfunding
A form of fundraising in which investors acquire ownership interests (e.g., ordinary shares or preferential shares) in businesses listed on the Platform.
Social cause crowdfunding
A donation- or transaction-based model where funds are raised for projects with community or social impact, without any expectation of financial return.
Fundraiser
Any individual, company, or entity seeking to raise capital through the Platform.
Investor
Any individual or institution investing or contributing funds via the Platform.
Campaign
A fundraising initiative listed on the Platform.

3. Eligibility

Age Requirement

Investors must be at least 18 years of age and legally capable of entering into binding contracts.

Entity Registration

Fundraisers must be duly registered entities or individuals that meet SEC eligibility requirements.

KYC/AML Compliance

All users must comply with Know Your Customer and Anti-Money Laundering checks as required by law.

4. Equity-Based Crowdfunding

4.1 Investors in equity campaigns acquire securities (shares or preferential shares) in the investee company.

4.2 All equity offerings will be subject to disclosure requirements, including business plans, financial statements, risk disclosures, and investment terms.

4.3 Investors acknowledge that equity investments are illiquid, high-risk, and may result in partial or total loss of invested capital.

4.4 Equity securities acquired may be subject to restrictions on transfer or resale under applicable securities laws.

4.5 Dividends or returns are not guaranteed and depend on the performance of the underlying business.

5. Social Cause Crowdfunding

Donation Model

transactions to social cause campaigns are donations or sponsorships without any financial return or ownership rights.

Disclosure Requirements

Fundraisers must disclose the intended use of funds and provide periodic updates on project progress.

No Guarantees

Crowdveste does not guarantee the completion or success of any social project. transactions are made at donor's sole discretion and risk.

6. Platform Role and Limitations

6.1 Crowdveste acts only as a facilitator and does not provide investment advice, financial guarantees, or endorsements of any campaign.

6.2 Crowdveste does not verify the accuracy of all information submitted by fundraisers but will require minimum disclosure compliance as per SEC rules.

6.3 All investment decisions are the sole responsibility of the investor.

7. Risk Disclosures & Disclaimers

Important Risk Warning

Investing in securities involves significant risk. Past performance is not indicative of future results. Investors should be prepared to bear the risk of loss, including the potential loss of their entire investment.

7.3 Investments in equity crowdfunding are generally illiquid, and resale opportunities may be limited or non-existent.

7.4 Crowdveste and its affiliates accept no liability for investment losses, fraud by fundraisers, or failure of projects listed on the Platform.

7.5 Users are encouraged to seek independent financial, tax, or legal advice before investing.

8. Fees and Charges

8.1 Crowdveste may charge fees to fundraisers for hosting campaigns and/or a percentage of funds raised.

8.2 Fees will be disclosed prior to the launch of each campaign.

9. Investor Protection & Governance

Disclosure Standards

All campaigns must comply with disclosure standards and governance requirements as per SEC's pilot program.

Complaints Handling

Crowdveste maintains a complaints handling mechanism to address user concerns.

Escrow Protection

Escrow accounts ensure proper handling of investor funds until campaigns reach their funding thresholds.

10. Data Protection & Privacy

10.1 Crowdveste will collect and process personal information in line with applicable data protection laws.

10.2 Users consent to the use of their data for compliance, reporting, and operational purposes.

11. Termination & Suspension

11.1 Crowdveste reserves the right to suspend or terminate any user account for breach of these Terms, regulatory non-compliance, or misuse of the Platform.

11.2 Campaigns may be suspended if they fail to comply with SEC requirements or disclosure standards.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Zambia. Any disputes shall be subject to the exclusive jurisdiction of the courts of Zambia.

13. Acknowledgement

By using Crowdveste, you acknowledge that you have read, understood, and agreed to these Terms, including all risk disclosures, disclaimers, and regulatory conditions under the SEC pilot program.
